This is a skill-based competition.

  1. Eligibility: Recharge’s Tomorrow Brand Challenge (“Competition”) is open to legal residents of any one of the United States (excluding Arizona, Colorado, Delaware, Louisiana, Maryland, Montana, New Jersey, and Vermont), the District of Columbia, Canada, the United Kingdom, Germany, Sweden, and Denmark (Collectively “Territory”) who are at least eighteen (18) years old or over the age of majority in his/her/their country, province, or statement of residence at the time of entry (“Entrant(s)”). Employees of Recharge Inc. and the immediate family (spouse, partner, parents, siblings, and children) and household members of each such employee are not eligible. The Competition is void where prohibited by law.

Agreement to Official Rules: Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and Sponsor’s and Administrator’s decisions, which are final and binding in all matters related to the Competition. You also agree that your participation in this Competition is subject to compliance with the Recharge Terms of Service located at https://getrecharge.com/terms-of-service/ (“Recharge Terms of Service”). Sponsor reserves the right to make reasonable amendments to these Official Rules and the Recharge Terms of Service at any time, to qualify and verify all submissions, and to reject any submissions that do not meet the requirements for participation herein. Winning a prize is contingent upon fulfilling all requirements set forth herein. Each winner will be required to participate in the prize fulfillment process and sign documentation, such as a release, within the timeframe specified by Sponsor.

  1. Entry and Competition Periods:

Entry Period: Entrant may join the Competition between August 28, 2024, at 12:01 A.M. North American Pacific Time and ends on December 31, 2024, at 11:59 P.M. North American Pacific Time (“Entry Period”). Entries that are submitted before or after the Entry Period will be disqualified. A person is deemed entered when a business registers for the Competition as detailed in these Official Rules. 

Competition Period: The Competition begins on January 1, 2025, at 12:01 A.M. North American Pacific Time and ends on June 30, 2025, at 11:59 P.M. North American Pacific Time (“Competition Period”).  

Administrator’s computer is the official time-keeping device for this Competition.

  1. How to Enter the Competition: Eligible Entrants may participate in the Competition by completing the following steps:
    1. Agreeing to enter the Competition on the Competition entry page located at https://tmrwbrand.getrecharge.com/ during the Entry Period. Any Recharge Merchant (defined below) may enter the Competition by inputting his/her/their store information into the Merchant Competition Entry Form on the Entry Page; and
    2. Operating that business as a Recharge Merchant during the entire Competition Period and continuing to operate that business as a Recharge Merchant through prize awarding. “Recharge Merchant” means Entrant must be an user of Recharge’s Services under the Recharge Terms of Service or by other written agreement with Recharge.

By entering, you agree that all decision makers, partners, members, etc. in the business have agreed to the business participating in this Competition.

  1. Winner Selection:
    1. Sponsor will classify Entrants into one (1) of three (3) categories (each, a “Category”). The Categories are: (a) Start Up; (b) Challenger; and (c) Champion. The Category assignment is based on average monthly gross merchandise value (“GMV”) band listed as follows:

      Sponsor’s decision as to which Category an Entrant fits within are not appealable. Entrants only compete against other entrants in the same Category. Sponsor reserves the right at any time to reclassify any businesses as it deems appropriate and reasonable.
    2. A Winner will be selected from each Category based on the following selection process:
      1. The top five (5) Entrants in each Category with the highest month-over-month (“MoM”) Active Subscriber Growth over a 6-month period (January 1, 2025 through June 30, 2025) will be in the finalist group for a total of fifteen finalists. 

        Active Subscribers” means a subscriber of a physical product, scheduled to replenish on a set cadence. All non-physical product subscriptions are excluded. Active Subscriber includes newly activated subscribers and existing subscribers still active. 

        Active Subscriber Growth” means the percentage difference of active subscribers from the beginning of the month to the end of the month, averaged over the 6-month period.
      2. Finalists in each Category will then be judged by Sponsor and one Winner will be selected from each Category using the following criteria according to the percentage weights indicated:
        • Adoption and/or utilization of Recharge Services: Core Subscriptions Feature (10%), Pro Feature (such as Gifting, Bundles, Cancellation Prevention, and Grow Checkout) (20%), and Additional Add-on Services (including but not limited to Retain and Grow) (70%).
    3. Sponsor will determine all Category Prize winners using these criteria, which will be verified by an audit (as referenced below) of Sponsor’s records of the Entrants’ subscription business records. All sales made by any Entrant participating in the Competition during the Competition Period are subject to being audited by Sponsor and/or their authorized representatives. By participating in this Competition, all Entrants consent to the disclosure of all relevant books and records to Sponsor and/or their authorized representatives for the purpose of verification. Any failure by an Entrant to provide Sponsor or their authorized representatives with all books and records necessary to verify number of Active Subscriber or other information as needed during the Competition Period shall result in disqualification. Sponsor reserves the right to disqualify any Entrant based on the results of the audit contemplated hereunder.
    4. Entrants consent to the publication of his/her/their business’ Active Subscriber Growth by way of number ranges and percentages or use of Recharge’s Services on the Recharge website and elsewhere during and after the Competition Period. Entrants’ precise Active Subscribers figures for his/her/their businesses will not be published by Sponsors. 
    5. Entrant’s account with Recharge Inc. must be active and in good-standing at the time of awarding the Prize.
    6. Winners announcement date is: August 1, 2025.
  2. Notification and Verification of Potential Winner:

The winners will be contacted via email within 30 days of the end of the Competition Period. 

If the potential winner does not acknowledge acceptance of a Prize with seven (7) days after being notified (using the contact details listed on his/her/their Recharge merchant account) that he/she/there is/are a Prize winner, the Prize will be irrevocably forfeited, and another Prize winner will be chosen using the same procedure specified above (i.e., the second highest score finalist from adoption and utilization of Recharge’s Services , the third highest score finalist from adoption of utilization of Recharge’s Services , etc.).

All potential winners are subject to verification and audit by Sponsor. An Entrant is not a winner of any prize unless and until Entrant’s eligibility and the potential winning entry has been verified and Entrant has been notified that verification is complete. 

In the event of a dispute as to who is the proper recipient of any Prize, such Prize shall be delivered to the individual whose credit card was used to pay for Recharge Services through which the business at issue has be conducted during the Competition Period, but only if that person otherwise meets the eligibility requirements for participation in this Competition and is still employed by the business in question. If there is a dispute between any members, partners, creators, owners, or employees of or investors in a business that cannot be resolved to the satisfaction of the Sponsor, that business may be disqualified in the sole discretion of the Sponsor. If any other dispute cannot be resolved to the satisfaction of the Sponsor, the business that is the subject of the dispute will be deemed ineligible or disqualified. 

Receiving a prize is contingent upon compliance with these Official Rules.

  1. Prizes:

    1. General entry prizes: A qualified Entrant who enters the Competition within the Entry Period and competes during the Competition Period is shall receive the following prizes:
      1. At least a twenty percent (20%) discount of ChargeX 2025 tickets (a $130.00 value) up to 1,500 Entrants;
      2. Access to Recharge’s Resource Library (estimated $50,000 market value);
      3. Access to Recharge’s Consulting Hours (a video library with resources from industry leaders, influencers, and Recharge’s agency partners) (estimated $50,000 value); and
      4. Brand/merchant highlight across Recharge’s social channels (including but not limited to, blog, social media, paid aids, and websites) (estimated $100,000 value); and
    2. Category prizes: There are three (3) “Category Prizes” available to be won (one (1) in each Category) for a total of three (3) Prizes (“Prize” or “Prizes”) in this Competition. Each Prize consists of:
      1. USD $100,000 in the form of a check made out to the winning business or the person named on the credit card used to pay for Recharge Services (in Sponsor’s sole discretion);
      2. Up to USD $50,000 in reimbursement for a trip for the business or the person named on the credit card used to pay for Recharge Services and guest(s) (must be an employee of the business) from Sponsor (each trip related expense shall be approved by Sponsor in its sole discretion. All qualifying trip expense must be made between August 1, 2025 to July 31, 2026 and submitted by July 31, 2025; 
      3. Up to USD $50,000 in reimbursement for the business’s marketing expenses (made between August 1, 2025 to July 31, 2026 and submitted by July 31, 2025) from Sponsor (each marketing expense shall be approved by Sponsor in its sole discretion); and
      4. A trip for the business or the person named on the credit card used to pay for Recharge Services and one (1) guest to Monza, Italy on dates selected by Sponsor up to USD $35,000 in value including (i) round-trip business class fare air travel plus ground transportation, (ii) four to five consecutive nights double-occupancy accommodations at a hotel in Monza, Italy, and (iii) two (2) tickets to the big race.

Prize winners, with the exception of death or personal injury caused by gross negligence of Sponsor, agree that Sponsor is not liable for any damages, costs, or injuries sustained in connection with accepting any prize in this competition.

  1. General Prize Requirements:
    1. Approximate retail value of the total general entry prize is four hundred eighty-five thousand U.S. Dollars (USD $485,000). Approximate retail value of each Prize is two hundred thirty-five thousand U.S. Dollars (USD $235,000). Final actual value at time of booking and travel may be more or less depending on the point of origin and ticket availability, and if the actual value of any Prize is lower than the estimated value, Prize winners will not receive any additional compensation.
    2. All taxes and duties, if any, on all Prizes are the sole responsibility of the Prize winners. Failure to complete the trip prize does not relieve the Prize winner of his/her/their tax obligations associated with winning the trip prizes.
    3. All expenses not specified above, including but not limited to airport or ground transportation, meals, beverages, gratuities, taxes, gifts, travel insurance baggage fees charged by the applicable airlines, in-room charges and all other ancillary costs, are excluded and are the sole responsibility of the Prize winners. Prize winners may be required to provide a credit card at hotel check-in to cover hotel incidentals. 
    4. Travel dates will be at the discretion of the Sponsor, and the Prize winners and their guests shall reasonably cooperate with Sponsors to arrange for the prompt booking of their travel arrangements. Travel insurance is highly recommended to protect against the additional cost incurred in the event of unforeseen circumstances and is not included as part of the Prize. 
    5. It is each of the traveler’s personal responsibility to ensure that he/she/they have valid documentation, including but not limited to valid passports and visas, which meet the requirements of immigration and other government authorities at every destination. Any fines, penalties, payments or expenditures incurred as a result of such documents not meeting the requirements of those authorities will be the sole responsibility of the travelers. 
    6. The Prize may be forfeited if the relevant Prize winner cannot travel on the dates or within the range of dates specified by Sponsor. All airline tickets once booked cannot be changed unless Sponsor in its sole discretion consent. Any additional fees or penalties incurred as a consequence of any changes made to any travel arrangements after they are booked that are made at the request of the Prize winner are the sole responsibility of such Prize winner. All transportation tickets are subject to the terms and conditions specified thereon. Flight schedules are subject to change without notice. Sponsor is not liable for any missed Prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay.
    7. The Prize winners may not request Prize substitution or cash redemption. No Prize is transferable or exchangeable for cash. The Prize winner will not be compensated for any forfeited component of the Prize. 
    8. Sponsor reserves the right to alter components of any Prizes in its sole discretion and replace them with other components of approximately equal value. Specific travel arrangements and all Prize details not specified herein will be made and determined in the sole discretion of the Sponsor. Once selected by Prize winner, guest cannot be changed without the express consent of Sponsor, which may be withheld for any reason.
    9. By entering this Competition and accepting the Prize, the Prize winner agrees to conduct his/her/their business and maintain his/her/their behavior in accordance with all applicable laws and generally accepted social practices in connection with participation in any Competition related or prize-related activities. The Prize winner understands and agrees that Sponsor or Prize providers have the right, in their sole discretion, to disqualify and remove the Prize winner or his/her/their guest from any activity at any time if the Prize winner or his/her/their guests’ behavior at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of Sponsor or otherwise violates the policies of Prize providers. In such a case, the Prize winner will still be responsible for all taxes and other expenses related to the Prize. 
    10. Participants waive the right to assert as a cost of winning any Prize, any and all costs of verification and redemption or travel to claim the Prize and any liability and publicity which might arise from claiming or seeking to claim said Prize.
    11. If a Prize winner does not accept or use the entire Prize, the unaccepted or unused part of the Prize will be forfeited, and Sponsor will have no further obligation with respect to that prize or portion of the Prize. If the Prize winner cannot make the Monza, Italy trip, Sponsor reserves the right, in its sole discretion, to disqualify the Prize winner from this Monza Italy trip portion of the Prize and select the 2nd place finalist in the same Category for the Monza, Italy trip. 
    12. As a condition to the award of any Prize, all Prize winners and their guests will be required to execute and return to Sponsor within ten (10) business days of receipt: (a) an affidavit or certificate of eligibility affirming each Prize winners’ compliance with these Official Rules; (b) a publicity release; (c) a release of Sponsor and Sponsor’s officers, directors, employees, agents, affiliates, successor and assigns from and against any claim or cause of action arising out of participation in the Competition or acceptance of any Prize (which release will not apply to liability for death or personal injury caused by the gross negligence of Sponsors or liability for fraud or fraudulent misrepresentation or breach of Sponsor’s obligations under these Official Rules; and (d) all documentations Sponsor may require confirming the tax obligations, if any, of each Prize winner and his/her/their guest. The Prize winner and/or his/her/their guests may be disqualified if he/she/they failed to sign and return the foregoing documents, and any others that may reasonably be required. The relevant Prize may thereafter be awarded to an alternate Prize winner from the remaining valid entries using the same criteria specified above.
  2. Release:

NOTHING IN THESE OFFICIAL RULES LIMITS, EXCLUDES OR MODIFIED OR PURPORTS TO LIMIT, EXCLUDE OR MODIFY ANY STATUTORY CONSUMER GUARANTEES OR ANY IMPLIED CONDITION OR WARRANTY THE EXCLUSION OF WHICH FROM THESE OFFICIAL RULES WOULD CONTRAVENE ANY STATUTE OR CAUSE ANY PART OF THESE OFFICIAL RULES TO BE VOID (“NON-EXCLUDABLE GUARANTEES”). SUBJECT TO THE LIMITATIONS IN THE PRECEDING SENTENCE, ALL ENTRANTS AGREE, EXCEPT WHERE PROHIBITED BY LAW, TO RELEASE INDEMNIFY AND HOLD HARMLESS SPONSORS AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATED COMPANIES, SUBSIDIARIES, SUPPLIERS, DISTRIBUTORS, ADVERTISING AND PROMOTIONAL AGENCIES, AGENTS, SUCCESSORS AND ASSIGNS (COLLECTIVELY, THE “RELEASE PARTIES”) FROM AND AGAINST ANY AND ALL LOSSES, LIABILITY, ILLNESS, INJURY, CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPATION IN THE COMPETITION. ENTRANTS AGREE THAT, EXCEPT WHERE PROHIBITED BY LAW INCLUDING IN RELATION TO THE NON-EXCLUDABLE GUARANTEES, RELEASED PARTIES ARE NOT LIABLE FOR INJURIES, LOSSES OR DAMAGES OF ANY KIND ARISING FROM PARTICIPATION IN THIS COMPETITION AND ACCEPTANCE, POSSESSION, MISUSE AND USE OF ANY PRIZE. The above release will not apply to liability for death or personal injury caused by the negligence of Sponsor or liability for fraud or fraudulent misrepresentation or breach of Sponsor’s obligations under these Official Rules. 

THE RELEASED PARTIES ARE NOT RESPONSIBLE IN ANY WAY FOR ANY EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTIONS OF ANY GOVERNMENT AUTHORITY. EACH PRIZE WINNER ACKNOWLEDGES THAT HE/SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS, OR LIABILITIES OF HIS/HER GUEST RELATED TO ANY COMPETITION-RELATED ACTIVITY, INCLUDING WITHOUT LIMITATION, ANY ACTIONS, CLAIMS, OR LIABILITIES RELATED TO THE GUEST’S USE OF THE PRIZE. The above release will not apply to liability for death or personal injury caused by the negligence of Sponsor or liability for fraud or fraudulent misrepresentation or breach of Sponsor’s obligations under these Official Rules.

  1. Limitations of Liability: Subject to the Non-Excludable Guarantees, all Entrants and participants agree that the Released Parties are not responsible and/or liable for the following: (a) any incorrect or inaccurate information, whether caused by any Entrant, printing errors or by any of the equipment or programming associated with or utilized in the Competition; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Competition; (d) technical or human error which may occur in the administration of the Competition or the processing of entries; (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Competition or receipt or use or misuse of any Prize; (f) entries that are submitted by illegitimate means (such as, without limitation, by an automated computer program); (g) any lost, late, incomplete, illegible, or misdirected entries, email, mail, or Competition-related correspondence or materials; (h) electronic communications that are undeliverable as a result of filtering of any kind, or insufficient space in Entrant’s email inbox; (i) any changes or unavailability of the Competition website that may interfere with the Competition, in which case Sponsor, in its sole discretion, may terminate or modify the Competition. If for any reason an Entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry, if possible.

Released Parties are not responsible or liable to any Entrant or Prize winners or any person for failure to supply the Prize or any part thereof in the event that any of the Competition activities or Released Parties’ operations or activities are affected, as determined by Sponsor in its sole discretion, including but not limited to, by reason of any acts of God, any action, regulation, order or request by any governmental or quasi-governmental entity, equipment failure, threated or actual terrorist acts, earthquake, war (declared or undeclared), fire, flood, epidemic or pandemic, embargo, labor dispute or strike, transportation interruption of any kind, civil disturbance, any law or regulation taken by any legal or governmental authority, or any other cause, whether or not specifically mentioned above. The above release will not apply to the extent arising out of the failures or defaults of Released Parties.

Nothing in these Official Rules shall operate to exclude or limit a party’s liability for (a) death or personal injury arising out of that party’s negligence; (b) fraudulent or fraudulent misrepresentation committed by that party; (c) breach of these Official Rules; or (d) any other liability that cannot be excluded or limited by applicable law.

  1. Publicity and Promotional Activity:
    1. Except where prohibited by law, participation in the Competition constitutes Entrant’s consent to Sponsor’s and its promotional partners and agencies to use his/her/their name, business name, and all the business identifying information provided in the entries (including the entry form) for marketing and/or sales promotional purposes worldwide, in perpetuity, in any and all media, manner, and formats now known or hereafter devised without any attribution, identification right of review or compensation.
    2. By entering this Competition and accepting the Prize, the Prize winner agrees to the following promotional activities with Sponsor:
      1. Talk about how Prize winner utilizes Recharge Services to win the Competition as requested by Sponsor;
      2. Attend and speak at ChargeX 2026 about how Prize winner utilizes Recharge Services to win the Competition; and
      3. Conduct one (1) case study with Sponsor
      4. One (1) Prize winner’s brand/business highlight on Sponsor’s website (including use of Prize winner’s logo and product photos).
  1. General Conditions, Restrictions, and Prohibited Behavior:
    1. Entrants are prohibited from obtaining sales by any fraudulent or inappropriate means, including but not limited to, collaborating with any party or person in any way to gain subscribers or sales or cause another entrants or participants to lose subscribers or sales, as determined by the Sponsor in its sole discretion. Use of any fraudulent or inappropriate techniques, or use of any script, macro, or other automated or artificial systems to obtain subscribers or sales, or with the intent or effect of impairing the integrity of the Competition, is strictly prohibited. Upon discovery of any prohibited behavior, Sponsor, in its sole discretion, may deem such sales null and void and may disqualify the offending Entrant.
    2. Sponsor reserves the right, in its sole discretion, to disqualify any individual Entrant from participating in this Competition for conduct that violates these Official Rules, applicable laws, or that, in the reasonable determination of Sponsor, compromises the fairness of this Competition. Any attempt by any person to deliberately undermine the legitimate operation of the Competition may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. 
    3. Sponsor reserves the right to cancel, suspend and/or modify the Competition, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Competition, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, wide spread illnesses, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Competition, including but not limited to fulfillment of the Prize as determined by Sponsor in its sole discretion.
    4. Sponsor may disqualify an Entrant if Sponsor reasonably determine in its sole discretion that allowing the Entrant (business) to participate in the Competition would bring Sponsor into public disrepute or in any way impact the good standing or reputation of Sponsor in the eyes of the generic public. 
    5. Sponsor reserves the right, in its sole discretion to: (a) restrict or void entries or participation from any IP address if any suspicious entry and/or participation is detected;(b) to void entries or sales of any Entrants who Sponsor believes have attempted to tamper with or impair the administration, security, fairness, or proper play of this Competition.
    6. Entries submitted without complete identifying information will not be eligible to win.
  2. Disputes and Governing Law: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Competition or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate state court located in Los Angeles, California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Competition but in no event attorneys’ fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Competition, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

Complaints for residents of the United Kingdom: Any complaints or inquiries relating to these Official Rules or to this Competition shall be sent by email to [email protected].  An Entrant who receives notification from Sponsor that he/she/they are disqualified from the Competition or from receiving any Prize may request in writing that Sponsor review the decision if Entrant can show that the decision was based on incorrect information or that the decision was not in accordance with these Official Rules. A request to review such a decision must be submitted within five (5) business days from the date on which the disqualification notice sent to the Entrant by Sponsor; such request not be clearly identified as such in the subject line and must include all necessary documentations. Following such a request, Sponsor will notify the entrant of its final decision which will then become final and binding on the Entrant and will not be subject to any further reconsideration, review, or appeal. 

  1. Privacy and Entrant’s Personal Information: Information collected from Entrants is subject to the Sponsor’s Privacy Policy: https://getrecharge.com/privacy-policy/. Sponsor collects personal information in order to conduct the Competition and may disclose such information to third parties, including but not limited to, Prize suppliers.
  2. Other Terms:
    1. Sponsor’s failure to, or decision not to, enforce any provision in these Official Rules will not constitute a waiver of that or any other provision. 
    2. In the event there is an alleged or actual ambiguity, discrepancy, or inconsistency between disclosures or other statements contained in any Competition-related materials and/or these Official Rules, it will be resolved in the sole discretion of Sponsor. ENTRANT WAIVE ANY RIGHT TO CLAIM AMBIGUITY IN THE COMPETITION OR THESE OFFICIAL RULES. 
    3. If the Competition is not capable of running as planned for any reason, Sponsor reserves the right, in its sole discretion, to cancel, modify, or suspend the Competition and award the Prize from eligible entries received prior to cancellation, modification, or suspension or as other deemed fair and appropriate by Sponsor.
    4. If any provision of these Official Rules is or becomes illegal, invalid, or unenforceable in any respect under the law of any jurisdiction, that shall not affect the legality, validity, or enforceability in that jurisdiction of any other provision of these Official Rules nor the legality, validity, or enforceability of these Official Rules (including the provision in question) in any other jurisdiction.
    5. In the event of any discrepancy or inconsistency between the English Official Rules and disclosures or other statements contained in any Competition-related materials and the French, Spanish, or other non-English language versions of those terms, these English rules shall prevail, govern, and control.
